Archive – realized privatization projects
Since the enactment of the Privatization of Slovenske Železarne Act (OJ RS, No. 13/98), the following companies have been sold in privatization procedures.
- SŽ JEKLO, d. o. o., Štore – mini steel plant (the company has been sold to the Swedish company Inexa AB),
- SŽ ITRO, d. o. o., Štore – selling New Holland tractors (the company has been sold to the Slovenian company Saneko, d. o. o., to the company’s employees and former employees of the business system Slovenske Železarne),
- SŽ VALJI, d. o. o., Štore – production of various rolls and casts made of gray and nodular casting (the company has been sold to Slovenian company Valji Group d. o. o.),
- SŽ TIO Pnevmatika, d. o. o., Lesce – producer of industrial pneumatics components (the company has been sold to Slovenian company CMC System d. o. o),
- ARMATURE, podjetje za proizvodnjo armatur, d.o.o., Muta – production of industrial armatures made of steel casting and high-grade steel (the majority of business share has been sold to the German company Friedrich Krombach GmbH & Co. KG),
- CRONING LIVARNA, podjetje za proizvodnjo in prodajo jeklolitine in modelov, d. o. o., Ravne – production of casts made of steel casts and high-grade steels (currently in the takeover process of the majority business share by the German company Friedrich Krombach GmbH & Co. KG),
- SŽ TOVIL, d. o. o., Ljubljana – production of metric screws of smaller dimensions, screws for sheet metal and special screws (the company has been sold to Slovenian company TKG tovarna kovinske galanterije, d. o. o.).
In accordance with the Decree on Sales Procedures and Other Forms of Disposal of State Property, (OJ RS, No. 47 – 2629/2001 and No. 62 – 3265), the following projects of privatization and sale of companies have been realized:
From parent company SŽ – STO RAVNE, družbe za proizvodnjo strojev in tehnološke opreme, d. o. o., Ravne na Koroškem (production of presses – machines and other devices, machine parts and rolls) three daughter companies have been established according to the composition programme, which was voted in October 2002. All product lines have been passed on to the three daughter companies:
- SISTEMSKA TEHNIKA, podjetje za proizvodnjo namenskih proizvodov in tehnološko strojne opreme, d. o. o. (the company has been sold to the Viator&Vektor, d. d., Ljubljana),
- STROJI, podjetje za proizvodnjo stiskalnic, strojnih delov in naprav, d. o. o. (the company has been sold to the Železarna Ravne – Monter Dravograd, d. d.),
- KOVANI VALJI, podjetje za proizvodnjo kovanih valjev, d. o. o. , on which the parent company passed all its product lines (the company has been sold to the Swedish concern Akers AB Styckebruk),
METING – ŽELEZARNA JESENICE, d. o. o. , company engaged in renting lodgings to employees (the company has been sold to Stanovanjski sklad of Republic of Slovenia),
ŽELEZARNA ŠTORE – PROSTAND, d. o. o. , company engaged in renting lodgings to employees (the company has been sold to Stanovanjski sklad of Republic of Slovenia),
STANOVANJSKO PODJETJE, d. o. o., RAVNE (the company has been sold to Stanovanjski sklad of Republic of Slovenia),
ENERGETIKA RAVNE, d. o. o., company for supplying and distributing energy to former Železarne Ravne steelworks, and energy producer and distributor for remote heating of the town Ravne (the company has been sold to the company Petrol, d.d., Ljubljana),
SŽ ENERGETIKA ŠTORE, d. o. o., company for supplying and distributing energy to former Železarne Ravne steelworks (the company has been sold to the company Petrol, d. d., Ljubljana),
ENERGETIKA – ŽELEZARNA JESENICE, podjetje za proizvodnjo in storitve na področju energetike, d. o. o., manufacturing and service company (the company has been sold to the Italian concern SOL s. p. s. Monza),
ENOS – Energetika, oskrba s toplo vodo, paro, plinom in elektriko, d. o. o., Jesenice, water, steam gas and electricity supplies company (the company has been sold to JES Energetika, d. o. o., Jesenice),
SŽ – OPREMA, pnevmatika, hidravlika, orodja in tehnološke linije, d. o. o. pneumatics, hydraulics, tool and technological lines, d. o. o. (the company has been sold to the companies AIPS avtomatizacija, inženiring proizvodnih sistemov, d. o. o., and D. P. R., družbi pooblaščenki Ravne, d. d.).
SELL-OFF PROGRAMME FOR DEPENDENT COMPANIES
The sell-off programme of Slovenske Železarne subsidiary companies from year 2001 intended a privatization of core companies and non-core companies which were not included in the privatization programme in 1998.
Core Companies:
- SŽ ACRONI JESENICE, podjetje za proizvodnjo jekla in jeklenih izdelkov, d. o. o. manufacturer of steel and steel products,
- SŽ METAL RAVNE, podjetje za proizvodnjo plemenitih jekel, d. o. o. manufacturer of high-grade steels,
- SŽ NOŽI RAVNE, podjetje za proizvodnjo nožev in rezil, d. o. o. manufacturer of knives and blades,
- SŽ STO – Ravne –Stroji in tehnološka oprema Ravne, d. o. o. production of machines and technological equipment (in compulsory settlement procedure).
Non-core Companies:
- ELEKTRODE JESENICE, d. o. o., production, commerce and service company,
- SUZ JESENICE, d. o. o.,
- ZIP CENTER, d. o. o. Ravne, company for counselling, training and recruiting disabled workers.
In accordance with the Government decree a commission was appointed to conduct and supervise the sales procedures of the equity investment of the Republic of Slovenia, which comprises of shares and shareholdings in Slovenske Železarne, d. d.
The sales procedure of the subsidiary companies concerns the eighty percent company share in individual companies. According to the provisions of the Privatization of the Slovenske Železarne Act (ZPRS), the inside beneficiaries are granted, according to Article 3 of the above mentioned act, a pre-emptive right to at the most twenty percent of the remaining share capital of the company in question.

Terminated Sales Procedures
Two-stage sales procedure for the companies Noži Ravne, Acroni Jesenice and Metal Ravne was carried out in accordance with the rules and procedures specified in the international public tenders, which were put out on 28 June 2002 for the steel-making companies, and on 2 Novembre 2001 for Noži Ravne. On 6 August 2003 the government commission decided to terminate negotiations with the bidders and to end sales procedures of the eighty percent business share of the companies SŽ Noži Ravne, d. o. o., Metal Ravne, d. o. o., and Acroni, d. o. o. This conclusion was made after a thorough examination of the submitted binding offers, detailed analysis of the steel market and growth trends in the industrial knives production as well as on the grounds of criteria and standards for selection of the highest bidder prescribed for the individual company.
